Terms of Service

Please read these terms carefully before using NiroCRM.

1. Agreement to Terms

By accessing or using NiroCRM (the "Service"), operated by Niro Digital d.o.o., you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

NiroCRM is a customer relationship management platform designed for telecom sales teams. The Service includes:

  • Lead management and distribution
  • Sales pipeline tracking
  • Team and quota management
  • Email integration and templates
  • Analytics and reporting
  • AI-powered assistant

3. User Accounts

Account Registration

To use certain features of the Service, you must register for an account. You agree to:

  • Provide accurate and complete registration information
  • Maintain and promptly update your account information
  • Keep your password confidential and secure
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use of your account

Account Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including:

  • Breach of these Terms
  • Fraudulent or illegal activity
  • Non-payment of fees
  • At our sole discretion for any other reason

4. Subscription and Payment

Subscription Plans

NiroCRM offers various subscription plans with different features and pricing. Details about available plans are provided during the sign-up process and on our pricing page. Plans may include per-lead billing, subscription fees, or custom enterprise arrangements.

Billing

  • Subscription fees are billed weekly or monthly in advance, depending on your plan.
  • All fees are non-refundable unless otherwise stated or required by law.
  • You authorize us to charge your payment method for all applicable fees.

Price Changes

We reserve the right to modify subscription fees. We will provide at least 30 days' notice before any price changes take effect.

Free Trial

We may offer free trial periods for new users. Trial terms will be communicated at the time of sign-up. At the end of the trial, your account will be converted to a paid subscription unless cancelled.

5. User Responsibilities

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any laws
  • Attempt to gain unauthorized access to the Service or systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Upload viruses, malware, or other malicious code
  • Collect or harvest user data without authorization
  • Impersonate any person or entity
  • Resell, sublicense, or redistribute the Service without authorization
  • Use the Service to send unsolicited communications (spam)

6. Intellectual Property

Our Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Niro Digital d.o.o. and its licensors. The Service is protected by copyright, trademark, and other laws.

Your Content

You retain ownership of any data, content, or information you upload to the Service ("Your Content"). By uploading content, you grant us a license to use, store, and process Your Content solely for the purpose of providing the Service.

Feedback

Any feedback, suggestions, or ideas you provide regarding the Service may be used by us without any obligation to compensate you.

7. Data Processing

As a data processor, we will process personal data on your behalf in accordance with our Privacy Policy and applicable data protection laws. You acknowledge that:

  • You are the data controller for any personal data you upload
  • You have obtained all necessary consents and permissions
  • You are responsible for compliance with applicable data protection laws

A Data Processing Agreement (DPA) is available upon request for enterprise customers. Please contact legal@nirodigital.com to request a copy.

8. Service Level Agreement

We are committed to providing reliable service with the following commitments:

  • Uptime Guarantee: 99.9% uptime commitment for our production environment
  • Support Hours: Business hours (9:00-17:00 CET)
  • Critical Issue Response: 4 hours for system-wide outages
  • Standard Issue Response: 24 hours for non-critical issues

9. Limitation of Liability

To the maximum extent permitted by law, in no event shall Niro Digital d.o.o., its directors, employees, partners, agents, or affiliates be liable for:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Any damages arising from your use or inability to use the Service

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We expressly disclaim all warranties of any kind, whether express or implied, including but not limited to:

  • Implied warranties of merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Accuracy or reliability of any content

11. Indemnification

You agree to defend, indemnify, and hold harmless Niro Digital d.o.o. and its affiliates from any claims, damages, losses, or expenses arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Any content you submit or upload to the Service

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Croatia, without regard to its conflict of law provisions.

Any disputes arising from these Terms shall be resolved in the courts of Zagreb, Croatia.

13. Changes to Terms

We reserve the right to modify these Terms at any time. If a revision is material, we will provide at least 30 days' notice before the new terms take effect.

Your continued use of the Service after any changes constitutes acceptance of the new Terms.

14. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be modified to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
